Terms of Sale

The terms that govern quotes, orders and the supply of equipment through 8purple.

These Terms of Sale ("Terms") apply to every quote we issue and every order you place with 8purple ("8purple", "we", "us") for AI and HPC data center equipment and related services. By requesting a quote, issuing a purchase order, or accepting delivery, you ("Customer", "you") agree to these Terms. They do not modify any separately signed master purchase or supply agreement, which controls where it conflicts with these Terms.

1. Quotes and pricing

Quotes are provided free of charge and carry no obligation to buy. Unless a quote states otherwise, pricing is valid for thirty (30) days from the quote date and is subject to confirmation of stock, lead time and vendor pricing at the time an order is accepted. Pricing for long-lead items such as transformers, switchgear, large CDUs and GPU allocations may be re-confirmed before an order is booked. Prices are exclusive of taxes, duties, freight, insurance and installation unless expressly itemized.

2. Orders and acceptance

An order is formed only when we issue a written order confirmation against your purchase order. We may decline or cancel an order before confirmation, including where equipment is no longer available, where a pricing or description error is identified, or where export-control or buyer-qualification checks are not satisfied.

3. Equipment condition and specification

Equipment is supplied as new, used (tested and graded) or refurbished (restored), as stated per line on the quote. Manufacturer specifications, images and part numbers are provided for identification and may be updated by the vendor. Where you specify an open requirement rather than a part number, we propose options and confirm the exact specification with you before the line is priced and ordered.

4. Payment terms

Unless Net-30 or other terms are agreed in writing, payment is due before dispatch. Approved-credit customers pay within the agreed terms from the invoice date. Late amounts may accrue interest at the lower of 1.5% per month or the maximum permitted by law. Title to equipment passes on receipt of payment in full; risk passes on delivery per the agreed shipping terms.

5. Delivery, lead times and logistics

Lead times are confirmed per line at the time of order and are estimates, not guarantees; they depend on vendor allocation and freight. Large orders may ship in phases so that power, cooling and compute arrive in the correct commissioning sequence. Unless agreed otherwise, delivery terms are quoted per Incoterms® 2020 and stated on the order confirmation.

6. Inspection, returns and cancellation

You must inspect equipment on delivery and notify us of shortages, transit damage or non-conformance within ten (10) business days. Custom-configured, special-order and allocated items are non-cancellable and non-returnable once an order is confirmed. Authorized returns of standard stock may be subject to a restocking charge.

7. Warranty

New and refurbished equipment carries the applicable manufacturer warranty, and refurbished lines carry a standard twelve (12) month warranty unless stated otherwise. Used equipment is supplied "as is" except where a specific warranty is stated on the quote. Warranty claims are handled per the manufacturer's process; we assist with routing and RMA coordination.

8. Limitation of liability

To the fullest extent permitted by law, 8purple is not liable for indirect, incidental, special or consequential damages, or for lost profits, downtime or data loss. Our total aggregate liability arising out of or relating to an order is limited to the amount you paid for the equipment giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded by law.

9. Export controls and compliance

Certain AI accelerators and HPC equipment are subject to export controls and sanctions. You agree not to export, re-export or divert equipment in breach of applicable law, and you agree to provide end-use and end-user information where required. Larger opportunities may require buyer qualification and a signed NDA before we release detailed pricing or availability.

10. Confidentiality

Each party will protect the other's confidential information — including bills of materials, pricing and project details — and use it only to perform the order. We treat your project information as confidential and will sign an NDA on request.

11. Governing law and changes

These Terms are governed by the laws of the jurisdiction stated on your order confirmation, or, if none is stated, the jurisdiction in which 8purple is established. We may update these Terms from time to time; the version in force when your order is confirmed applies to that order.
